A good purchase order (PO) states, in one document, what the buyer is ordering, from whom, at what price, by when and on what terms — and gives the order a unique number that every later invoice can quote. The PO number is the thread that ties quotation, delivery, invoice and payment together, so a clear format saves arguments and speeds up payment on both sides.
Key takeaways
- A PO is issued by the buyer to the supplier. Once accepted, it usually forms part of the contract.
- Core fields: PO number and date, buyer and supplier details, line items, prices, taxes, delivery terms, payment terms, and an authorised signature.
- Keep POs in their own numbering series and record who approved each one.
- If you export services, a foreign client's PO number and date are natural entries for the "contract no. and date" column in Part 2B of your EDF.
Why purchase orders matter
For buyers, a PO controls spending: nobody orders without an approved document, and finance can match the supplier's invoice to what was actually agreed. For suppliers, a PO is protection. It shows the client committed to a price and scope before you started.
Large clients — in India and abroad — often won't pay an invoice that doesn't quote a valid PO number. If you're the supplier, ask for the PO before you start work.
What to include

| Delivery / service address | Where goods go or where services are used | Can differ from billing address |
| Line items | Description, quantity or hours, unit, rate, amount | The core of the order |
| HSN / SAC | For each line where relevant | Helps the supplier invoice correctly |

| Total value | In figures and in words | Prevents tampering and misreading |
| Delivery or completion date | Specific date or milestone schedule | Sets expectations |

Adapt the fields to your business. Many companies add a line asking the supplier to quote the PO number on every invoice and delivery note.
Tips for buyers issuing POs
- Use a separate numbering series and never reuse numbers, even for cancelled POs. Mark those "Cancelled".
- Define approval limits. For example, a manager approves up to ₹1 lakh, a director above that. Record who approved.
- Attach or reference the quotation. If the supplier's quotation had conditions, the PO should accept or override them explicitly.
- Send POs on your letterhead or from your system, not as a casual email, so they look official.
- Amend formally. If scope or price changes, issue an amended PO with a revision number rather than agreeing changes on a call.
Tips for suppliers receiving POs
- Check the PO against your quote before you accept. Prices, quantities, taxes and payment terms should match.
- Quote the PO number and date on every invoice. Our GST invoice generator has a field for it.
- Track the balance. For a PO with milestones, keep a running total of what you've invoiced against it.
- Ask about expiry. Some POs lapse at the client's financial year end.
Foreign clients' POs and your EDF
If you export services, many overseas clients will send you a PO (some call it a work order or statement of work). That document does extra duty for Indian exporters.
Part 2B of the EDF has a column for "contract no. and date" against each invoice. A client's PO number and date are a natural fit when there's no separate signed contract. Our guide to EDF Part 2B, column by column covers this and the other columns.
Example: Clearpath IT Services also supports a client in Leeds, which issues PO 4500123987 dated 2 November 2026 for GBP 24,000 of annual support, invoiced monthly. Each monthly export invoice quotes the PO, and each EDF row lists "PO 4500123987, 02-11-2026" as the contract reference. When the bank or an auditor asks what supports an invoice, the PO is the answer.

Frequently asked questions
Is a purchase order a legally binding contract?
Once the supplier accepts it — in writing or by starting work — a PO generally forms part of the contract between buyer and supplier. Its terms matter, so read them before you accept. For complex deals, a separate signed contract is common.
What is the difference between a purchase order and an invoice?
The buyer issues a PO to place an order. The supplier issues an invoice to request payment after delivering. The invoice should quote the PO number so the buyer can match them.
Does a PO need GST details?
It's good practice to include both parties' GSTINs and the applicable taxes, so the supplier can invoice correctly. The tax actually charged is set on the supplier's tax invoice.
Can I use a client's PO number as the contract number in the EDF?
Where the PO is the agreement for the service, its number and date are a sensible entry for the contract column in Part 2B. If there's a separate signed contract, you might list that instead, or both. Be consistent across months.
Should POs be numbered by financial year?
Many businesses include the financial year in the PO number, such as PO/26-27/0147, so each year starts a fresh sequence. Whatever format you choose, keep it unique and sequential.
Bottom line
A clear PO — unique number, precise line items, firm terms and a proper approval — protects both buyer and supplier and makes invoicing painless. When you're ready to bill against one, use the free GST invoice generator and quote the PO number on every invoice.
